General Terms and Conditions of Purchase

This agreement regulates the general terms and conditions of purchase for the various products offered on this website by MAT PRODUCT and TECHNOLOGY SL (hereinafter MATGroup™) with NIF no. B65847246 and registered office at Passatge de Marie Curie nº 3, Nave 6, Planta 2, 08223, Terrassa, Barcelona (Spain). By completing the registration process and purchasing any of our products, the CUSTOMER expressly accepts and submits to the clauses specified below, as well as the conditions of access and use of our portal and its privacy policy, accessible via the "Legal Notice" and "Privacy Policy" links. The CUSTOMER acknowledges having sufficient legal capacity to enter into a contract. This contract is permanently accessible in the legal notices section of our website.

1. PRICES AND TAXES

In consideration for the product purchased, the CUSTOMER expressly agrees to pay MATGroup™ the amounts specified at the time of purchase in the price list established on the website www.twiins.com for the chosen products. The products offered on this website are subject to Value Added Tax (VAT), which IS INCLUDED in the prices detailed for each product. The shipment of the products will be considered located in the territory of application of VAT if the delivery address is located in Spanish territory. The applicable VAT rate will be the legally current rate at all times, depending on the specific product concerned. In the event that the CUSTOMER is located in European Union countries, the Spanish VAT will be deducted and the VAT tax rate corresponding to the country of destination will be applied, based on the annual billing in that country.

Transport costs ARE NOT included in the price of the products. Before proceeding with payment, the final purchase price will appear on the screen, which will include VAT (Value Added Tax), management, packaging, and shipping costs, if applicable, which will be reflected in the order at the time of purchase and in the invoice. Anything not specified in the description as included is not included.

2. PURCHASE PROCEDURE

Orders can only be placed through this website by individuals over 14 years of age and companies. All our products are detailed individually on the website. The procedure for placing and managing the purchase is indicated on the website, and only the following steps must be followed:

  1. Choose the product you wish to purchase.

  2. By selecting a product, it can be added to the Shopping Cart, and you can choose between continuing to shop or processing the order.

  3. To process the order, if this is your first time accessing our portal, you must complete a registration form with your personal details and create a personal user account. Once this step is completed, you will receive confirmation in the email address you provided that the registration has been successful. If you are an already registered user, to continue with the purchase process, you only need to enter the username and password you generated during the first purchase. The user code and password are personal and belong to the person who carried out the registration process, who is solely responsible for their custody. Through your account, you can manage the information we have and modify or update your data.

  4. Next, the order verification will proceed, where the selected items are detailed one by one, and the total price is calculated.

  5. It will also be necessary to indicate the billing and delivery addresses for the purchase made. It will be possible to indicate a single address for billing and delivery.

  6. Once the process is underway, it will be necessary to tick a box to confirm the reading and acceptance of the terms and conditions of sale.

  7. The website will provide you with mechanisms to make the payment based on the system chosen in each case.

  8. Once the payment details have been entered, you must confirm the order by clicking the "Buy" button.

  9. Once the "Buy" button is clicked, the purchase confirmation email will be sent.

The CUSTOMER is informed that the photographs and descriptions of the products on the website may not substantially differ from the original. The descriptions and illustrations of the products offered through this website are provided for informational purposes only.

3. AVAILABILITY AND DELIVERY

The products offered by MATGroup™ are available for distribution throughout the European Union. Orders will be processed once payment has been correctly received.

The products offered by MATGroup™ will always be subject to availability, which will be specifically indicated on our Website for each product. Therefore, in the event that any item offered is unavailable, the customer will be duly informed of the lack of availability for purchase.

Under normal conditions, all products appearing on our Website are available for delivery within the indicated timeframes. In cases where, once the order has been placed, the product contracted by the CUSTOMER is out of stock, they will be duly informed and offered an alternative product of similar characteristics of equal price and quality to the one purchased. If, even so, the CUSTOMER is not interested in accepting the proposed alternative, MATGroup™ will proceed to refund the amount already paid and will inform them of the procedures and deadlines for reimbursement.

As a general rule, the maximum home delivery period will be xxxx days/hours from the time of purchase and from the moment we have confirmed your payment. These delivery times are approximate and in no case binding for MATGroup™.

Deliveries will be made on working days (Monday to Friday). It is advisable for the CUSTOMER to communicate their preferred delivery times when filling in the order details in the Comments section.

The delivery of the purchased product to the home address will be made by the carrier along with a delivery note at the address indicated in the order form, which the customer must sign as a document of receipt. Likewise, the CUSTOMER will be duly informed in the event of an incident or if the delivery is delayed for any reason. If delivery to the indicated address is not possible due to the absence of the recipient, the carrier will contact the CUSTOMER directly, and the steps to follow will be detailed. In the event that the impossibility of delivery is caused by an erroneous address being provided, the cost of re-sending the order will be borne by the CUSTOMER. MATGroup™ is not responsible for delays in the delivery of purchased items due to causes attributable to the carrier. In order to keep you informed at all times about the management of your purchase, you will receive an email notification confirming your order and payment.

4. PAYMENT AND PAYMENT PERIODS

The following payment method is accepted:

  • Credit Card: The transaction is carried out by connecting directly with SHOPIFY through its payment gateway.

Once payment is made, you will receive a confirmation email. MATGroup™ is not aware of your credit card details. All our payment systems are completely secure. Payments are made prior to the delivery of the product, so MATGroup™ will not provide the requested product until the moment it has received payment for it. MATGroup™ reserves the right to temporarily or permanently cancel the services provided, in the event of any payment incident.

5. INVOICES

Upon making the corresponding payment, if the customer requests it during the purchase process, they will receive the Invoice for their purchase in PDF format in the email address they indicated for this purpose at the time of placing the order. The CUSTOMER is responsible for confirming the receipt of notifications and for informing us of any modification to their data, and MATGroup™ is exonerated from any liability arising from this circumstance.

6. WARRANTY

All our products are subject to quality control and are guaranteed against manufacturing defects for a period of 3 years from the date of delivery of the product. The warranty covers any manufacturing, design, or material defects. The warranty only covers defective products. It does not cover blows, improper use, or others that are not attributable to a supplier defect or a flaw in the product. During the warranty period, the CUSTOMER may return the product, and we will proceed to its repair, replacement, price reduction, or contract termination, as appropriate, which will be free of charge for the CUSTOMER. The transport costs generated by returns under warranty WILL NOT be borne by the CUSTOMER. The purchase invoice is the warranty document.

7. RETURNS

The following conditions for returning our products do not apply in the case of exercising the right of withdrawal.

Outside of the right of withdrawal (explained in section 8), returns or exchanges of products will only be accepted in case of factory defect, transport damage, or delivery errors. In any case, no more than 14 days must have passed since the receipt of the product, and the packaging and accessories must be included, if applicable. In case it is not possible to include all accessories or original packaging, the CUSTOMER will be responsible for the decrease in value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods. Prior to acceptance, it will be checked that the issue is a manufacturing or packaging defect or anomaly and not inadequate or negligent use, handling, or storage. They must always be accompanied by the corresponding delivery note or invoice. Both in the case of return due to manufacturing or packaging defect and in the case of an order error, the CUSTOMER will be offered, if possible, the repair of the item or its replacement with an alternative one at no additional cost and without the right, on the part of the CUSTOMER, to any type of compensation. The costs generated by the shipment of the repaired or correct order will be borne by MATGroup™. In any case, the return will always be subject to prior examination by MATGroup™ of the condition of the returned product and verification that the requirements set forth in these sales conditions have been met. Once the return is received and if it is appropriate, we will refund the amount charged within a maximum period of 30 days and in the same terms that were used to make the payment. MATGroup™ reserves the right to reject returns communicated or sent outside the fixed period or for products that are not in the same condition as they were received. Returns will be managed by sending an email to info@twiins.com with a description of the reasons and the alleged causes for the return. It will also be necessary to indicate the full name and the order reference number. Once the request is received, we will process it promptly.

8. RIGHT OF WITHDRAWAL

You have the right to withdraw from this contract within a period of 14 calendar days without the need for justification, provided that the product has not been unsealed (Article 103.e) of Royal Legislative Decree 1/2007, of November 16, which approves the revised text of the General Law for the Defense of Consumers and Users and other complementary laws). In the event that you have the right to withdraw from this contract, the withdrawal period will expire 14 calendar days from the day that you or a third party indicated by you, other than the carrier, acquired material possession of the goods. To exercise the right of withdrawal, you must notify us at MAT PRODUCT and TECHNOLOGY SL, Passatge de Marie Curie nº 3, Nau 6, Planta 2, 08223, Terrassa, Barcelona, email: info@twiins.com, of your decision to withdraw from the contract through an unequivocal statement (for example, a letter sent by postal mail, fax, or email). You may use the withdrawal form template below, although its use is not mandatory.

To meet the withdrawal deadline, it is sufficient that the communication regarding the exercise by you of this right is sent before the corresponding deadline expires. Consequences of withdrawal: In case of withdrawal on your part, we will refund all payments received from you, including delivery costs (with the exception of additional costs resulting from your choice of a delivery method other than the least expensive ordinary delivery method we offer) without undue delay and, in any case, no later than 14 calendar days from the date on which we are informed of your decision to withdraw from this contract. The CUSTOMER will bear the direct costs of returning the goods, so the cost of collection will be deducted from the refund, except in the case where the reason is defective quality, damage produced in transport/delivery, or an error in the shipment on our part (these cases will be processed as a manufacturer's warranty or return depending on the case, and the transport costs generated will never be borne by the CUSTOMER). We will proceed to make said refund using the same means of payment used by you for the initial transaction, unless you have expressly provided otherwise; in any case, you will not incur any expenses as a result of the refund. We may withhold the refund until we have received the goods, or until you have presented proof of the return of the same, depending on which condition is met first. Once the withdrawal request has been notified, you must return or deliver the goods directly to us without any undue delay and, in any case, no later than 14 calendar days from the date on which you communicate your decision to withdraw from the contract. The deadline will be considered met if you carry out the return of the goods before the said period has concluded. The returned goods must be in perfect condition, not have been damaged, show deformations, or show signs of wear, scratches, or stains. You will be responsible for the decrease in value of the goods resulting from handling other than that necessary to establish the nature, characteristics, and functioning of the goods.

9. PERFECTION OF THE CONTRACT AND MODIFICATIONS TO THE SERVICES

This contract will be perfected with the payment for the contracted product. MATGroup™ reserves the right to modify the characteristics and conditions of its services in any way, always with the aim of improving them and resulting in a benefit for the CUSTOMER.

10. OBLIGATIONS OF THE PARTIES

MATGroup™ undertakes to provide the CUSTOMER with the products that have been contracted, applying the utmost diligence in the provision of the service, as well as taking care of the maintenance of the necessary facilities for the operation of the network, having adequate technical and computer equipment for this purpose, and managing the logistics, shipping, and delivery operations of the purchase made through the carrier. The CUSTOMER undertakes to use the services made available to them in good faith, without violating the current laws in any matter or infringing the rights of third parties, as well as paying for the selected product in the time and manner set in these terms of sale and receiving it at the place indicated for delivery. MATGroup™ does not guarantee that the availability of the service object of this contract will be continuous and uninterrupted, due to circumstances caused by problems in the Internet network, breakdowns in computer devices, and other unpredictable circumstances. Therefore, the CUSTOMER accepts to bear these circumstances within reasonable limits, thus expressly waiving the right to claim any contractual or non-contractual liability from MATGroup™ for possible failures, errors, and use of the contracted service.

11. COMMUNICATIONS

All notifications between the parties will preferably be made via email. The CUSTOMER is responsible for confirming the receipt of notifications and for informing MATGroup™ of any modification to their data, and MATGroup™ is exonerated from any liability derived from this circumstance. In case of modification, the CUSTOMER must inform MATGroup™ at the email address indicated on our website. In compliance with Article 21 of Law 34/2002 on Services of the Information Society and Electronic Commerce, we inform you that our commercial mailings and information related to our website and the products offered on it will be carried out by email to the e-mail address you provide us, always revocably. In any case, you have the option to reject our commercial communications by sending an email to the address info@twiins.com indicating the word UNSUBSCRIBE in the subject line.

12. COMMITMENT, ACCEPTANCE, AND VALIDITY OF THE CONTRACT

The CUSTOMER acknowledges having read and accepted the legal conditions of use and the privacy policy of the website. The CUSTOMER acknowledges that they have understood all the information regarding the products, including, where applicable, the delivery time, offered on our website, as well as all the conditions and stipulations contained in this electronic contract, and therefore states that they are sufficient for the exclusion of error in the consent of this contract, and therefore accepts them fully and expressly. The CUSTOMER is fully aware that the acceptance and execution of this contract will take place through the provision of their data and the clicking of the "Buy" button or similar indicated on our website and that it will be perfected with the payment of the requested product.

 

13. APPLICABLE REGULATIONS

This contract will be governed and interpreted in accordance with Spanish laws. In the event of any type of discrepancy or difference between the parties in relation to the interpretation, content, or execution of the Contract that is not resolved by mutual agreement, the Parties will submit to the courts or tribunals that are competent in each case, which, for CUSTOMER consumers or users, will be the courts or tribunals of their domicile. In the absence of a mandatory jurisdiction or in cases where it is foreseen that the parties may submit to a jurisdiction, they will submit to the Courts and/or Tribunals of the city of Terrassa, expressly waiving any other that may correspond to them.
